Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Mondoir LLC FZ ("Mondoir", "we", "us", or "our"), a company registered in Meydan Freezone, Dubai, United Arab Emirates. By accessing or using any of our websites, applications, or services — including mondoir.com, mondoir.art, artpraisal.com, sixgent.com, mondoir.ai, elizoid.com, workshop.mondoir.ai, the Mondoir Gallery iOS app, and any other product that links to these Terms (collectively, the "Services") — you agree to these Terms.

If you do not agree to these Terms, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. Marketplace transactions, cryptocurrency payments, and certain AI features require you to be at least 18 (or the age of legal majority in your jurisdiction, whichever is greater). If you are a minor permitted to use any portion of the Services, you confirm that a parent or legal guardian has reviewed these Terms and consented to your use. By using the Services you represent that you meet these requirements and that you are not barred from using the Services under applicable law.

2. Accounts and Authentication

To use most features you must create an account. You can register with an email and password or by using a third-party identity provider such as Google, Apple, GitHub, Microsoft, or others we support ("OAuth Providers"). When you sign in through an OAuth Provider, you authorize us to receive certain profile information from that provider as described in our Privacy Policy.

You are responsible for:

• providing accurate and current information when registering;
• maintaining the confidentiality of your credentials and any third-party accounts you use to sign in;
• all activities that occur under your account;
• notifying us promptly at security@mondoir.com of any unauthorized use.

We may suspend or terminate your account at any time if we believe you have violated these Terms, created risk for us or other users, or if required by law.

3. The Services

The Services may include, without limitation:

• Mondoir.Art — an AI-powered art gallery and marketplace connecting artists and collectors;
• Mondoir Gallery iOS app — the Mondoir.Art experience for iPhone and iPad;
• Artpraisal — Mondoir's exclusive fine-art valuation and appraisal service, with fees starting from $400 and varying by job complexity;
• Sixgent — an autonomous marketing service run by governed AI agents;
• Mondoir.AI — an AI education academy with structured courses;
• Elizoid — a social learning ecosystem for AI agents;
• Replit Workshop — the Complete Replit Masterclass;
• related websites, apps, APIs, and content.

We may add, modify, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to provide notice of material changes.

4. User Content

"User Content" means anything you submit, upload, post, or otherwise make available through the Services — including artworks, images, listings, biographies, voice recordings, posts, comments, and messages. You retain all ownership rights you have in your User Content.

By submitting User Content, you grant Mondoir a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (e.g., resize and create thumbnails), publish, publicly display, distribute, and transmit your User Content solely as needed to operate, provide, promote, and improve the Services. This license ends when you delete your User Content from the Services, except to the extent the content has been shared with others who have not deleted it, or where retention is required by law.

You represent and warrant that:

• you own or have all rights necessary to your User Content and to grant the licenses above;
• your User Content does not infringe or violate any third-party rights, including intellectual property, privacy, or publicity rights;
• your User Content complies with these Terms and all applicable laws.

5. Acceptable Use

You agree not to:

• violate any law, regulation, or third-party right;
• upload or share content that is illegal, infringing, defamatory, hateful, harassing, sexually exploitative, or otherwise harmful;
• impersonate any person or entity, or misrepresent your affiliation with anyone;
• use the Services to spam, phish, scam, or distribute malware;
• attempt to gain unauthorized access to the Services, other accounts, or any system or network;
• interfere with, disrupt, or place an unreasonable load on the Services;
• scrape, crawl, or harvest data from the Services except as expressly permitted by us in writing or via documented APIs and within their rate limits;
• use the Services or any AI features to develop a competing product or to train machine-learning models;
• circumvent any access restrictions, paywalls, or security features.

We may remove content, restrict features, or terminate accounts that violate these rules. We may cooperate with law enforcement and regulators where appropriate.

6. Marketplace, Purchases, and Payments

Mondoir.Art and certain other Services let users buy and sell art and other items. Mondoir is not a party to transactions between buyers and sellers unless explicitly stated. Sellers are responsible for accurately describing items, fulfilling orders, providing valid invoices and customs documentation, and complying with applicable laws.

Payments are processed by third-party providers such as Stripe and supported cryptocurrency networks. By making a payment, you also agree to the applicable provider's terms. All sales are final unless otherwise required by law or stated in the listing or our refund policy. Cryptocurrency transactions are generally irreversible.

Prices, taxes, shipping, and currency conversion may apply. You are responsible for any duties, taxes, or fees imposed by your jurisdiction. We may refuse, cancel, or limit any order at our discretion, including for suspected fraud, mispricing, or violation of these Terms.

6.1 Identity, KYC, AML, and Sanctions

To comply with applicable anti-money-laundering, counter-terrorism-financing, and sanctions laws (such as those administered by the United Arab Emirates, the United States Office of Foreign Assets Control, the United Kingdom, and the European Union), we may require you to provide identity verification ("KYC") information before allowing certain transactions, particularly higher-value or cryptocurrency transactions. You represent that you are not located in, ordinarily resident in, or a national of any jurisdiction subject to comprehensive sanctions, and that you are not on any restricted-party list. We may refuse, delay, freeze, or reverse transactions, and may report activity to relevant authorities, where required by law or where we reasonably suspect illegal activity.

6.2 Returns, Refunds, and Disputes

Unless otherwise stated in a specific listing or required by mandatory consumer law, sellers are responsible for setting and honoring their own return and refund policies, and for resolving issues with buyers in good faith. Mondoir may, but is not obliged to, mediate disputes; where we do, our determinations are final for the purposes of the Services. Refunds, where granted, will normally be returned through the original payment method. Cryptocurrency payments are generally non-refundable to the originating wallet for the original asset value; any refund of a crypto payment may be issued in fiat or in the same crypto at our discretion and at then-current exchange rates.

6.3 Chargebacks and Fraud

If you initiate a chargeback or payment dispute that we determine to be invalid, abusive, or in bad faith, we may suspend your account, recover the disputed amount and any associated fees from your balance or other payment methods, and pursue any other remedies available at law.

6.4 Cryptocurrency Risks

You acknowledge the risks of cryptocurrency transactions, including price volatility, network congestion, gas/transaction fees, irreversibility, the possibility of sending to an incorrect address, and the risk that a blockchain may fork, halt, or become insecure. Mondoir is not responsible for losses caused by these risks, by your wallet provider, or by errors you make when initiating a transaction.

7. AI Features

Some Services include AI-powered features (for example, semantic search, voice interviews, image analysis, and generated text). AI outputs are provided "as is" and may be inaccurate, incomplete, or unsuitable for your purposes. Recommendations and other AI outputs are not professional, legal, financial, medical, or investment advice. You are responsible for reviewing AI outputs before relying on or acting on them.

Mondoir.Art does not provide valuations or appraisals. All Mondoir valuation and appraisal assignments are provided exclusively through Artpraisal, starting from $400 depending on job complexity.

You may not use AI features to generate content that violates Section 5, infringes third-party rights, or attempts to extract confidential information about the underlying models or training data.

8. Intellectual Property

The Services, including all software, designs, text, graphics, logos, trademarks (including "Mondoir", "Mondoir.Art", "Mondoir.AI", and "Elizoid"), and other materials we provide, are owned by Mondoir or our licensors and are protected by intellectual property and other laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

We welcome feedback. If you send us suggestions or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

9. Copyright and DMCA

We respect intellectual property rights. If you believe content on the Services infringes your copyright, please send a notice to legal@mondoir.com including: (a) your contact information; (b) identification of the copyrighted work; (c) the URL or location of the allegedly infringing content; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder; and (f) your physical or electronic signature. We may remove allegedly infringing content and terminate repeat infringers.

10. Third-Party Services

The Services may integrate with or link to third-party products and services (including OAuth Providers, payment processors, AI providers, hosting providers, and shipping carriers). We are not responsible for those third parties or their content, and your use of them is governed by their own terms and privacy policies.

11. Beta and Educational Content

Some Services or features (including Mondoir.AI courses, Elizoid, and Replit Workshop materials) may be labeled "beta", "preview", or similar. They are provided for evaluation and educational purposes, may change or be discontinued, and may contain bugs. Educational content is informational and not a substitute for professional advice or certification.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONDOIR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY OR (B) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Mondoir and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right or applicable law.

15. Termination

You may stop using the Services at any time and may delete your account from your account settings or by contacting us. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms or for any other reason permitted by law. Sections that by their nature should survive termination will survive, including ownership, disclaimers, indemnities, limitations of liability, and dispute-resolution provisions.

16. Governing Law and Disputes

These Terms are governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-laws principles. The courts of the Dubai International Financial Centre (DIFC) will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, except that we may seek injunctive relief in any court of competent jurisdiction. Where mandatory consumer protection laws of your country of residence apply, those laws are not affected by this clause.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

18. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Mondoir regarding the Services and supersede any prior agreements.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
